Terms & Conditions
Habano Cigars Wholesale
Effective Date: 7/01/2022
These Terms & Conditions (“Agreement”) govern all sales and transactions between Habano Cigars Wholesale (“Company,” “we,” “our,” or “us”) and the purchasing entity (“Customer,” “Buyer,” or “Retailer”).
By placing an order, Customer agrees to the following terms:
1. Wholesale Eligibility
Habano Cigars Wholesale sells exclusively to licensed retailers and authorized wholesale partners.
Customer represents and warrants that:
- All required federal, state, and local tobacco licenses are active and valid
- Customer is legally authorized to purchase and resell tobacco products
- All regulatory requirements are met in their jurisdiction
We reserve the right to verify licenses and refuse service at our discretion.
2. Orders & Acceptance
- All orders are subject to approval.
- We reserve the right to refuse or cancel any order.
- Product availability is not guaranteed until order confirmation is issued.
Pricing, packaging, and availability may change without notice.
3. Pricing & Payment Terms
- All prices are wholesale pricing.
- Payment is due according to agreed terms (e.g., Prepaid, Net 15, Net 30).
- Late payments may incur interest at the maximum rate permitted by law.
- Customer is responsible for all applicable taxes, fees, and regulatory assessments.
Failure to pay may result in account suspension.
4. Shipping & Risk of Loss
Risk of loss transfers to Customer upon delivery to the carrier.
Habano Cigars Wholesale is not responsible for:
- Carrier delays
- Lost or stolen packages after confirmed delivery
- Damage caused after delivery
All shipping claims must follow our Shipping & Refund Policies.
5. All Tobacco Sales Final
Due to regulatory and health compliance requirements:
- All cigar and tobacco product sales are final.
- Returns are accepted only in cases of verified shipping damage or order error.

6. Compliance with Laws
Customer agrees to:
- Comply with all federal, state, and local tobacco laws
- Follow all age-verification requirements
- Adhere to tobacco taxation and reporting obligations
- Maintain valid licensing at all times
Habano Cigars Wholesale is not responsible for Customer’s regulatory violations.
7. MAP & Brand Protection (If Applicable)
If a Minimum Advertised Price (MAP) Policy is in effect, Customer agrees to comply with all MAP guidelines provided separately.
Violation of MAP policies may result in:
- Suspension
- Loss of wholesale pricing
- Termination of account
8. Intellectual Property
All trademarks, logos, brand names, product designs, packaging, and marketing materials remain the exclusive property of Habano Cigars Wholesale.
Customer may not:
- Alter packaging
- Rebrand products
- Use logos without written permission
Unauthorized use may result in legal action.
9. Limitation of Liability
To the fullest extent permitted by law:
Habano Cigars Wholesale shall not be liable for indirect, incidental, special, or consequential damages arising from product use or resale.
Our total liability shall not exceed the amount paid for the specific order in question.
10. Force Majeure
We are not liable for delays or failure to perform due to events beyond our reasonable control, including but not limited to:
- Natural disasters
- Carrier disruptions
- Government regulations
- Supply chain interruptions
11. Account Termination
We reserve the right to:
- Suspend or terminate accounts
- Refuse future sales
- Revoke credit terms
At our sole discretion.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict-of-law principles.
Any disputes shall be resolved in the courts located within that state.
13. Modifications
We reserve the right to update or modify these Terms & Conditions at any time. Continued purchasing constitutes acceptance of revised terms.
